1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Valerio (the "Service"), operated by Valerio LTD ("Valerio," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Valerio helps you remember details about the people in your life and provides reminders and suggestions to help you stay connected, through features including AI Memory, the Relationship Compass, Conversation Suggestions, Smart Reminders, and Timeline.

3. Eligibility

You must be at least 16 years old — or the age of digital consent in your country, if higher — to use the Service.

4. Your Account

You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

5. Subscriptions and Billing

Plans. The Service is offered under the plans described on our pricing page, including the Founding Member plan and the Official plan, billed monthly or annually as selected at signup.

Founding Member pricing. Founding Member pricing, once locked in, applies for as long as your subscription remains active and in good standing; it does not carry over if you cancel and later resubscribe.

Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

Cancellation and refunds. You may cancel at any time; your access continues until the end of the current billing period. No partial refunds for unused time.

Price changes. We'll provide advance notice before any change to the price of your plan.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Enter information about others in a way that violates their privacy or applicable law.
• Attempt to reverse-engineer, scrape, or interfere with the Service.
• Resell or provide access to the Service to third parties without our permission.

7. Your Content

You retain ownership of the Relationship Data and other content you enter into the Service ("Your Content"). You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service. You represent that you have the right to share any information about other people that you enter into the Service.

8. AI-Generated Suggestions

Conversation Suggestions and similar AI-generated content are provided for informational purposes only, may be inaccurate or incomplete, and are not a substitute for your own judgment. You're solely responsible for how you use any suggestion the Service provides.

9. Intellectual Property

The Service, including its design, features, and underlying software, is owned by Valerio and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or brand.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms, or for any reason with reasonable notice, in which case we'll provide a reasonable opportunity to export Your Content where feasible.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that reminders will always be delivered on time.

12. Limitation of Liability

To the maximum extent permitted by law, Valerio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim arose.

13. Governing Law

These Terms are governed by the laws of UK, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
